Introduction

Welcome to ReplySuite ("Company", "us", "we", or "our"). These Terms of Service ("Terms") govern your use of our website located at replysuite.com and our automation services (collectively, "Service").

By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you disagree with any part of the terms, then you may not access the Service.

Accounts & Security

Eligibility: You must be at least 18 years old to use our Service.
Account Security: You are responsible for maintaining the confidentiality of your account and password. You agree to accept responsibility for all activities that occur under your account.
Accuracy: You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate.
No Sharing: Each seat is intended for one individual user. Sharing login credentials to circumvent pricing is prohibited.

Subscriptions & Purchases

Some parts of the Service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis (Monthly or Yearly).

Automatic Renewal

Your Subscription will automatically renew under the exact same conditions unless you cancel it or we cancel it. You may cancel via your account settings.

Fee Changes

ReplySuite, in its sole discretion, may modify Subscription fees. Any change will become effective at the end of the then-current Billing Cycle.

Refunds: Except when required by law, paid Subscription fees are non-refundable. Certain refund requests for Subscriptions may be considered by ReplySuite on a case-by-case basis.

Fair Usage Policy (FUP)

ReplySuite is committed to providing high-quality service for all users. To ensure this, we enforce limits on API calls and automation triggers based on your plan tier.

Warning: Unusually high usage, automated scraping, or behavior that threatens the stability of our infrastructure may result in temporary throttling or account suspension without prior notice.

Prohibited Uses

You agree not to use the Service:

In any way that violates any applicable national or international law.
To transmit "spam", "junk mail", or unsolicited promotional material.
To impersonate ReplySuite, a ReplySuite employee, or another user.
To engage in harassment, hate speech, or abuse on connected social platforms.
To introduce viruses, trojans, or other malicious material.

Social Platform Compliance

ReplySuite provides tools to automate engagement on platforms like Instagram and WhatsApp. You acknowledge that your use of these platforms via ReplySuite is subject to their respective Terms of Service.

You agree not to use ReplySuite to violate Meta's Platform Policies, including but not limited to purchasing fake engagement, aggressive following/unfollowing, or spamming DMs. ReplySuite is not responsible for any actions taken by social platforms against your account due to your misuse of our automation tools.

Intellectual Property

The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of ReplySuite and its licensors. The Service is protected by copyright, trademark, and other laws.

You retain all rights to the data, content, and information you upload or process through ReplySuite ("User Content"). By using the Service, you grant us a license to use this content solely to provide and improve the Service.

Limitation of Liability

In no event shall ReplySuite, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

Your access to or use of or inability to access or use the Service;
Any conduct or content of any third party on the Service;
Any content obtained from the Service; and
Unauthorized access, use, or alteration of your transmissions or content.

Disclaimer

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied.

Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.
